What Registrations You May Need

Every Florida business entity must file an Annual Report with the Division of Corporations each year between January 1 and May 1. If you sell tangible goods, you need a Florida sales and use tax registration. If you hire employees, you need a Florida reemployment tax account and potentially a federal payroll tax account. How long does it take to form an LLC in Florida? The Division of Corporations typically processes online filings within two to five business days. Expedited processing is available for an additional state fee. Once the Articles are filed, we handle the EIN application (usually same-day), type and format your operating agreement from your attorney's draft or a template you select, and walk you through the remaining registrations.

Do I need a registered agent? Yes. Every Florida LLC and corporation must designate a registered agent with a physical Florida street address. The registered agent receives legal and state correspondence on behalf of the business. We can discuss your options during the formation process.

What is the Florida Annual Report? Every Florida LLC, corporation, and limited partnership must file an Annual Report with the Division of Corporations between January 1 and May 1 each year.
